Trump tungsten deal: Kaz Resources targets a $2 billion Nasdaq listing

The Trump tungsten deal is moving toward the stock market. The Wall Street Journal reported in November 2026 that a mining venture linked to the Trump family aims to go public in a deal valued at about $2 billion. The company behind it is Kaz Resources, a planned Nasdaq company built around one of the largest undeveloped tungsten deposits in the world, in central Kazakhstan.

For investors, the Trump tungsten deal sits where three big stories meet. One is the race to secure critical minerals outside China. Another is a tiny Nasdaq stock about to change its whole business. The third is a debate in Washington about the business interests of the family of a sitting president. This article walks through the facts on each one, the gaps most coverage skips and what to watch through 2027.

What the Trump tungsten deal is

The Trump tungsten deal is a merger between two companies. The first is Skyline Builders Group Holding Ltd, a small company listed on Nasdaq. The second is Cove Kaz Capital Group LLC, a unit of the New York mining investor Cove Capital. On April 30, 2026, the two companies signed a transaction agreement to combine. The new company will be called Kaz Resources Inc. and will trade on Nasdaq under the ticker KAZR.

Who is behind Kaz Resources

Skyline Builders started life as a construction business in Asia. It is a Cayman Islands exempted company, and its listed office is in Kowloon Bay, Hong Kong. In the third quarter of 2025, a group of U.S. investors led by American Ventures LLC took control of Skyline. Their plan was to sell the construction business and move the company into critical minerals and nuclear fuels. Paul E. Mann is executive chairman of Skyline. He is also executive chairman of ASP Isotopes.

Cove Kaz Capital brings the mining assets. Pini Althaus is executive chairman of Cove Kaz, and Dominic Heaton is its chief executive. Cove won the right to develop the Kazakh tungsten project in 2025.

How the Skyline Builders merger works

The Skyline Builders merger still has several steps to clear. Skyline shareholders must approve it. Regulators must sign off. A registration statement on Form S 4 must be filed with the SEC and declared effective. The boards of both companies have already approved the deal, and the companies expect it to close in the fourth quarter of 2026 or early in 2027.

Skyline did not wait for the merger to rename its stock. The company announced on June 16, 2026 that its ticker would change from SKBL to KAZR on Nasdaq, and the change took effect on June 17, 2026. Before the merger agreement, Skyline paid $20 million for a 20 percent stake in Kaz Resources.

The merger announcement did not give an equity value, an exchange ratio or the ownership split after closing. Those details are the kind of terms a Form S 4 filing usually spells out, so the filing is the document investors should read first in 2027.

Kazakhstan tungsten project: Northern Katpar and Upper Kairakty

The value of Kaz Resources rests on one asset. The Kazakhstan tungsten project has two deposits, Northern Katpar and Upper Kairakty. They sit less than 20 miles apart by road in the Karaganda mining district of central Kazakhstan.

Resource size and planned output

A feasibility study from April 2023, prepared under the JORC standard, put the resource at about 1.4 million tonnes of tungsten trioxide, known as WO3. That is roughly 70 percent of the estimated 2 million tonnes in all of Kazakhstan. Cove Capital calls it the largest known undeveloped tungsten resource in the world. For scale, Mining.com reported that the reserve of China stands at 2.4 million tonnes, based on USGS data.

The plan calls for about 5,000 tonnes of WO3 a year from Northern Katpar and 7,000 tonnes a year from Upper Kairakty. Together that is 12,000 tonnes a year, or about 15 percent of current global production. Building both mines is expected to cost about $1.1 billion.

The project has not reached a final investment decision. A definitive feasibility study is set to start in the second half of 2026. Pini Althaus told Reuters in 2025 that first production could come in about three years. Tungsten projects often take five to seven years to move from advanced exploration to production, according to Mining Technology.

Ownership split with Tau-Ken Samruk

Cove Kaz holds 70 percent of Severniy Katpar LLP, the company that holds the project. Tau-Ken Samruk, the Kazakh state mining company and a subsidiary of the Samruk-Kazyna sovereign wealth fund, keeps the other 30 percent. Samruk-Kazyna said the sale of the 70 percent stake closed on May 4, 2026, according to Kursiv.

Cove Kaz also holds 75 percent of the Akbulak rare earth project, with the Kazakh state company JSC Qazgeology holding 25 percent. Cove Kaz will market all of the tungsten output. It has a letter of intent with the International Trade Administration of the U.S. Commerce Department to put U.S. government and commercial buyers first.

How the Trump family is linked to Kaz Resources

The Trump family link runs through Skyline Builders. Donald Trump Jr. and Eric Trump used an investment vehicle to buy stakes in Skyline, the Financial Times reported. Skyline then bought its 20 percent stake in Kaz Resources and later agreed to merge with Cove Kaz. The official deal announcements do not name the Trump sons. Their stake is known from press reports.

Timeline from the Tokayev call to the merger

The dates below come from public reporting and the letter Senator Elizabeth Warren sent to federal agencies:

  • On September 22, 2025, President Kassym-Jomart Tokayev of Kazakhstan reportedly told President Trump he planned to give tungsten mining rights to an American company.
  • On November 6, 2025, President Trump and President Tokayev announced the deal, alongside a U.S. and Kazakhstan memorandum on critical minerals.
  • On April 30, 2026, Skyline Builders and Cove Kaz Capital signed their merger agreement.
  • On May 4, 2026, the sale of the 70 percent project stake to Cove Kaz closed.
  • On June 17, 2026, the Skyline ticker changed from SKBL to KAZR.
  • In November 2026, The Wall Street Journal reported the venture aims to go public in a deal valued at about $2 billion.

What the Trump sons and the company say

A spokesperson for Donald Trump Jr. said he does not deal with the federal government on behalf of any company he invests in or advises. Other reports describe him as a passive investor with no role in running the business. Eric Trump did not comment to the Financial Times. In a separate dispute, the Trump Organization called a June 2026 New York Times report on family ties to federal mining deals libelous and asked for a retraction.

EXIM Bank and DFC financing for the project

Kaz Resources is counting on U.S. government lenders to help pay for the mines. The Export Import Bank of the United States, known as EXIM Bank, issued a letter of interest for up to $900 million in project finance. The U.S. International Development Finance Corporation, known as the DFC, issued a letter of interest for up to $700 million for debt and project development. Together the two letters cover up to $1.6 billion.

A letter of interest is a first step. It shows a lender is willing to look at an application. It does not oblige the lender to make a loan. Senator Warren cited reports that total federal financing sought for the project is about $2 billion, and that Trump linked entities also sought support from the Department of Defense.

Investors should treat the federal financing as possible, not certain. A definitive feasibility study, a final investment decision and full credit reviews all come before any loan money moves. The pace of those steps through 2027 will shape the value of KAZR stock more than any headline.

Why the US wants tungsten from outside China

Tungsten is one of the hardest and densest metals in industrial use. It goes into armor piercing rounds, missiles, fighter jets, cutting tools and electronics. That defense use is why the metal sits on the U.S. list of critical minerals.

China controls the tungsten supply chain

Global tungsten mine output was about 85,000 tonnes in 2025, and China produced roughly 79 percent of it, according to Mining Technology. China also controls about 70 to 85 percent of the processing stages, based on figures from the Oregon Group. U.S. rules that bar defense related tungsten from China, Russia, Iran and North Korea take effect in January 2027.

A supply of 12,000 tonnes a year from Kazakhstan would give U.S. buyers a large source outside China. The timing is the catch. The U.S. restrictions start in January 2027, and new Kazakh supply is unlikely to arrive before them.

The processing gap most coverage misses

Most headlines about the Trump tungsten deal stop at the mine. The bigger gap is processing. Tungsten ore must be turned into intermediate products such as ammonium paratungstate, known as APT, before factories can use it. Kaz Resources has not disclosed any refining or processing capacity. Without its own processing, Kazakh tungsten could still pass through outside converters, many of which are in China.

For investors, this is the first question to ask management in 2027. A mine with no secured processing route has a weaker case with U.S. defense buyers than one with a full chain from ore to product.

KAZR stock: what investors should watch in 2027

KAZR stock is where the gap between headline and reality is widest. The deal is reported at about $2 billion. The listed company is far smaller.

A small company carrying a big deal

At the close on October 26, 2026, KAZR stock traded at $1.50, according to Stock Analysis. That gave the company a market value of about $26.91 million. There were 17.94 million shares outstanding, and insiders owned about 55.59 percent. The public float was only about 328,368 shares. The stock had fallen about 52 percent over the previous 52 weeks.

Skyline still reports the numbers of its legacy business. Trailing revenue was $50.11 million, with a net loss of $7.53 million. The company plans to sell that construction business, so these numbers say little about the future Kaz Resources.

A float that small means a few trades can move the price sharply in either direction. A merger valued at about $2 billion on top of a company worth under $30 million also points to heavy dilution for current shareholders once new shares are issued. Dates and filings to track through 2027

The next 12 to 18 months will decide whether Kaz Resources becomes a real tungsten producer. These are the items to watch:

  • The Form S 4 filing and the date the SEC declares it effective.
  • The Skyline shareholder vote and the closing of the merger, expected in late 2026 or early 2027.
  • Results of the definitive feasibility study and any final investment decision.
  • Whether EXIM Bank and the DFC turn their letters of interest into firm loan offers.
  • Any deal to secure tungsten processing outside China.
  • Congressional or agency action on the conflict of interest questions.

Scrutiny from Congress and policy groups

The Trump family link has drawn questions from Congress. On July 8, 2026, Senator Elizabeth Warren, the ranking member of the Senate Banking Committee, wrote to four officials. They were Commerce Secretary Howard Lutnick, Defense Secretary Pete Hegseth, EXIM Bank President and Chairman John Jovanovic and DFC chief executive Ben Black. She asked whether the agencies are checking for conflicts of interest tied to the stake held by the Trump family. She also asked how EXIM Bank will protect federal funds and whether the White House is steering financing decisions. She set a response deadline of July 21, 2026.

The Cato Institute, a libertarian policy group, has also criticized the deal as part of a pattern of White House self dealing in trade and investment policy. Supporters of the project point to the other side of the ledger. The United States needs tungsten from outside China, the deposit is one of the largest known, and Kazakhstan chose a U.S. company to develop it. Both views will shape how fast federal lenders move in 2027.

These policy fights matter for shareholders too. Delays in federal financing would push back the mine schedule, and a longer schedule means more time before revenue. Readers who follow how rules shape markets can also read our coverage of fintech regulation news in 2026.

Common questions about the Trump tungsten deal

What is the Trump tungsten deal?

The Trump tungsten deal is the planned merger of Skyline Builders Group Holding Ltd and Cove Kaz Capital Group LLC into Kaz Resources Inc., a Nasdaq company built around a large tungsten project in Kazakhstan. Donald Trump Jr. and Eric Trump hold an indirect stake through Skyline, and The Wall Street Journal reported in November 2026 that the venture aims to go public in a deal valued at about $2 billion.

What is Kaz Resources and what is its ticker?

Kaz Resources Inc. is the company that will be formed when Skyline Builders and Cove Kaz Capital complete their merger, signed on April 30, 2026. How are Donald Trump Jr. and Eric Trump involved in Kaz Resources?

The Financial Times reported that Donald Trump Jr. and Eric Trump bought stakes in Skyline Builders through an investment vehicle. Skyline then paid $20 million for 20 percent of Kaz Resources and agreed to merge with Cove Kaz. A spokesperson for Donald Trump Jr. said he does not deal with the federal government on behalf of companies he invests in.

How big is the Kazakhstan tungsten project?

The project holds about 1.4 million tonnes of tungsten trioxide (WO3) under the JORC standard, about 70 percent of the estimated tungsten in Kazakhstan. The plan is 5,000 tonnes a year from Northern Katpar and 7,000 tonnes a year from Upper Kairakty, for 12,000 tonnes a year or about 15 percent of global output. Building it should cost about $1.1 billion.

Is the US government funding the Kazakhstan tungsten project?

Not yet. The Export Import Bank of the United States issued a letter of interest for up to $900 million and the US International Development Finance Corporation one for up to $700 million, or up to $1.6 billion in total. A letter of interest does not oblige a lender to make a loan.

When will the merger close and when will mining start?

Skyline Builders and Cove Kaz Capital expect the merger to close in the fourth quarter of 2026 or early in 2027, after a shareholder vote, regulatory approvals and an effective Form S 4 filing. The project has no final investment decision yet. Cove Kaz executive chairman Pini Althaus told Reuters in 2025 that first production could come in about three years.

Why does the United States want tungsten from Kazakhstan?

Tungsten goes into missiles, fighter jets, armor piercing rounds and cutting tools, and China produced about 79 percent of the 85,000 tonnes mined worldwide in 2025. US rules that bar defense related tungsten from China, Russia, Iran and North Korea start in January 2027. A large source in Kazakhstan would give US buyers supply outside China.

Is KAZR stock a good investment?

Fintechzoom.live does not give investment advice. On October 26, 2026, KAZR stock closed at $1.50 with a market value of about $26.91 million and a public float of about 328,368 shares. A small float can mean sharp price swings, and a deal reported at about $2 billion points to dilution for current holders. Read the Form S 4 filing and speak with a licensed adviser before buying.
